Brian Caid is an accomplished corporate attorney with extensive experience in corporate and real estate transactional matters.
Brian graduated from Columbia Law School in 1987, where he served on the Board of Editors of the Columbia Law Review and was a Harlan Fiske Stone Scholar. He obtained his undergraduate degree with highest honors from the University of North Carolina – Chapel Hill in 1983. After law school, Brian served as a judicial clerk in Austin, Texas for the Honorable William L. Garwood of the United States Court of Appeals for the Fifth Circuit. Upon the completion of his judicial clerkship, he moved to Colorado, where his practice has focused on corporate, securities and real estate law for over thirty years. During his career, Brian has been a partner at Morrison Foerster LLP, Fox Rothschild LLP, and Nelson Mullins Riley & Scarborough LLP. In addition to working in the Denver office of these law firms, he has spent time in Hong Kong and Singapore working with international clients on cross-border capital markets transactions.
Throughout his career, Brian has represented public and private companies at all stages of their corporate life cycle, from formation to initial public offerings and listing on a national stock exchange. Brian has represented clients covering diverse industries, including real estate, high tech, bio tech, energy, telecommunications and entertainment. He has handled venture capital; syndicated bank financing; senior, mezzanine and subordinated acquisition financing; corporate governance; domestic and international mergers and acquisitions; SEC, NYSE and FINRA compliance; executive compensation and employee benefits; private debt and equity offerings, initial public offerings,
follow-on public offerings and other capital market transactions; and other corporate matters.
Brian’s recent significant transactions include: representing a triple-net lease REIT from formation to listing on the NYSE (and over $4 billion in assets) in less than four years; shelf registration statements for WKSI clients and other eligible issuers; follow-on public offerings for NYSE-listed REITs; private debt and equity offerings for companies in various industries; production, talent and copyright agreements in the entertainment industry in California; financing, leasing, acquisition and disposition agreements in the real estate industry; and representing senior officers in connection with mergers involving NYSE-listed companies.
