Liz is an experienced corporate attorney with a wide range of experience in business transactions and consulting.
Liz received a Bachelor of Science in Zoology from the University of Wisconsin-Madison. She received her Juris Doctor cum laude from the University of Minnesota in 2003.
After law school, Liz joined Barna, Guzy & Steffen, Ltd.’s Corporate and Business Law department, where she worked with a variety of closely-held businesses on general corporate matters. She then joined Henson & Efron, P.A.’s corporate department. At Henson, she was responsible for drafting a vendor/supplier agreement form used by a Fortune 1,000 manufacturing company for over $100 million in annual purchases, and negotiated numerous agreements with domestic and international suppliers involving complex liability and intellectual property issues. Liz then relocated to New York and joined Thompson Hine LLP’s Corporate Transactions & Securities department, where she worked on more complex matters for larger companies. Most recently, Liz worked in-house at Morgan Stanley Fund Services, a hedge fund administrator. She worked directly with hedge fund managers and their attorneys to negotiate agreements and provide feedback on offering memoranda and subscription agreements.
Liz’s areas of experience include complex entity formation, corporate recordkeeping, entity dissolution and winding up, business succession, shareholder disputes, employment agreements (including executive compensation), commercial leases, vendor/supplier agreements, mergers and acquisitions, due diligence review and analysis, secured transactions, private placements of securities, international securities (including UCITS funds and AIFs), rebate and distribution agreements for UCITS funds and AIFs (including distribution in and from Switzerland), investment management agreements, SEC compliance, hedge funds, investment adviser compliance, and public company disclosures. She is experienced in all aspects of transactions, including negotiating agreements, drafting documents, and conducting closings.
